CLOC appoints three new board members and new VP as last founder steps down 

The Corporate Legal Operations Consortium has appointed three new board members and a new vice president as the last founding board member steps down. Chief financial officer Chris Coats is replaced by Frances Pomposo, who joins the board as treasurer. Pomposo is the VP of LGA strategy & operations and chief of staff to the general counsel at Splunk. Prior to Splunk, Pomposo was senior director of legal operations and chief of staff to the general counsel at Workday and has held similarly senior roles at Lyft and Adobe. 

The other two new board appointments are Adam Becker, director of legal operations at Cockroach Labs, and Laura Dieudonné, legal operations and administration director at Delta Air Lines. Farrah Pepper, the chief legal innovation counsel at Marsh McLennan, who was appointed to the CLOC board in 2021, has taken on the new role of vice president. 

Coats was the last of the founding CLOC members on the board, although Adobe’s former chief of staff and senior director of legal operations Lisa Konie, who stepped down from the board in December, is leading the CLOC staff as interim executive director. Konie replaced Betsi Roach, who had served as CLOC’s inaugural executive director since May 2020. 

“Each appointee has a tremendous record of business achievement, and we look forward to their significant contributions to our board and CLOC’s mission,” said Mike Haven, CLOC’s president and head of legal operations at Intel. “The vice president and treasurer roles are critical to the continued success of CLOC, and we look forward to the expertise these outstanding professionals will offer to the organization, our members and the industry.”  

The remaining board members are Aine Lyons, SVP and deputy counsel, global legal services (STAR Ops) and privacy at VMware (appointed 2019); Jason Barnwell, assistant general counsel – legal business, operations and strategy at Microsoft (appointed 2019); Jennifer McCarron, director of legal operations and technology at Netflix (appointed 2020); and Daniel Yi, senior counsel for special projects and innovation at the US department of justice (appointed in 2021).

“I’m thrilled to see our CLOC leadership at full strength as we begin the year,” said Konie. “We are deeply grateful to Chris for the incredible contributions she made as a founding member of the board and, since 2016, as our chief financial officer. Certainly, our new members have some big shoes to fill, but they’re more than up to the task. With Mike as president, Farrah as vice president and Frances as treasurer, we have an exceptional leadership team who are eager to continue growing and developing our organization.”

  1. You are a not-for-profit and under those rules, board members are to be elected, not appointed. The CLOC entity belongs to the members. Why are the members demanding that this organization be run by the laws and rules required of a nonprofit? Also, why hasn’t form 990 been published disclosing the financials of this member-owned organization?
